Eliza AI Founder Declares Token Dead as Foundation Shuts Down After Lawsuit Settlement

Shaw Walters, founder of Eliza Labs, has declared the project’s native ELIZA token “dead” and confirmed that the Eliza Foundation is shutting down after a class-action lawsuit settlement exhausted the organization’s remaining treasury. Walters announced that the foundation transferred its remaining funds to settle claims brought by Burwick Law, ending all financial support for the token while pledging to continue developing the open-source ElizaOS AI agent framework without a native cryptocurrency. The announcement marks the dramatic collapse of one of the crypto industry’s highest-profile AI agent projects, which once reached a market capitalization of approximately $2.5 billion during the 2025 bull market.

The decision represents a significant shift in strategy for one of Web3’s best-known AI initiatives. Walters said the legal battle and speculative token culture convinced him that future development should focus solely on open-source artificial intelligence rather than token-based fundraising. He also emphasized that he owns the intellectual property behind ElizaOS and intends to rebuild the project independently, making it clear that no future token will be associated with the platform.

Foundation Closes After Legal Settlement

According to Walters, the foundation lacked the financial resources needed to continue defending itself against a federal class-action lawsuit.

Rather than prolonging the legal battle, the project agreed to a settlement that transferred the foundation’s remaining treasury to a group of token holders represented by Burwick Law.

Following the settlement:

  • The Eliza Foundation will be wound down.
  • The ELIZA token will receive no further support.
  • No additional treasury funds remain.
  • Buyback programs have ended permanently.

Walters described the token as “dead” and confirmed that the foundation will no longer exist.

Lawsuit Alleged Misleading Token Promotion

The class-action lawsuit was filed in April 2026 in the U.S. District Court for the Southern District of New York.

According to the complaint, plaintiffs alleged:

  • False advertising.
  • Deceptive business practices.
  • Negligent misrepresentation.
  • Unjust enrichment.

The lawsuit claimed the original ai16z token was marketed as powering an autonomous AI-managed venture fund while allegedly remaining under insider control. It also challenged the project’s migration to ElizaOS, arguing that expanding the token supply from 1.1 billion to 11 billion tokens significantly diluted existing holders.

From Billion-Dollar AI Token to Shutdown

The announcement ends one of the fastest rises and falls in the AI crypto sector.

Originally launched on Solana in October 2024 as ai16z, the project quickly gained attention as an AI-powered decentralized autonomous organization designed to automate venture capital decisions.

The token eventually reached a market capitalization of approximately $2.5 billion before rebranding to ElizaOS after Andreessen Horowitz objected to the use of the ai16z name. The token has since collapsed following the shutdown announcement.

ElizaOS Will Continue Without a Token

Despite ending the token, Walters says development of the technology itself will continue.

Future work will focus exclusively on the open-source ElizaOS framework, which enables developers to build autonomous AI agents.

Walters stated:

  • He no longer owns any project tokens.
  • He will never launch another Eliza-related token.
  • Future development will center entirely on AI software.
  • The project’s mission remains focused on decentralized AI rather than speculative assets.

He described artificial intelligence as a far more constructive industry than today’s token-driven crypto culture and pledged to continue building the platform independently.

AI Agent Sector Continues Evolving

The collapse of Eliza’s token comes as the AI agent ecosystem continues expanding across Web3.

While many projects are integrating AI into decentralized finance, autonomous trading, and blockchain infrastructure, investors have become increasingly selective following several high-profile token failures. The shutdown highlights the growing distinction between successful AI technology platforms and speculative crypto tokens attached to those platforms.
