Binance Buys $100 Million Stake in Circle in Major USDC Expansion Deal

Binance has invested $100 million in Circle as the two crypto giants deepen their relationship around the USDC stablecoin. The world’s largest crypto exchange purchased more than 1.2 million shares of Circle while signing a new five-year commercial agreement designed to expand USDC adoption across Binance’s global platform, particularly in emerging markets.

Binance Takes $100 Million Stake in Circle

Circle issued Binance 1,237,011 shares of Class A common stock at $80.84 per share, giving the exchange a $100 million equity position in the stablecoin company.

The private placement closed on September 17 and was publicly disclosed through Circle’s SEC filing on September 22. The purchase price represented a discount to Circle’s market price before the transaction closed.

Binance retains voting rights over its shares during the restriction period. Certain circumstances could allow the transfer restrictions to end earlier.

Five-Year Deal Puts USDC Deeper Into Binance

The equity investment comes alongside a significantly expanded relationship between Binance and Circle.

The companies signed a new five-year commercial agreement focused on increasing USDC adoption and accessibility, particularly across emerging markets. The new arrangement replaces previous agreements signed in November 2024 and August 2025.

Under the agreement, Binance will expand USDC across its products and promote the stablecoin to its users. Circle’s SEC disclosure also says Binance can receive monthly incentive payments tied to the amount of USDC held through Circle’s Modular Smart Contract Wallet infrastructure. The exact percentage used to calculate those payments wasn’t publicly disclosed.

This makes Binance more than simply another exchange listing USDC. The company now has both a financial stake in Circle and a commercial incentive to increase USDC usage across its ecosystem.

Circle Stock Reacts to the Investment

Circle Internet Group, which trades on the NYSE under CRCL, initially climbed following disclosure of the deal.

Shares were quoted around $96 in premarket trading on September 22, approximately 1.8% above the previous session’s close. The stock later gave back those early gains during regular trading.

The investment itself represents only a relatively small portion of Circle’s overall equity. The larger strategic significance comes from Binance’s enormous global distribution network and its ability to put USDC in front of millions of crypto users.

USDC Competition Continues to Heat Up

The deal comes as USDC continues expanding across exchanges, payment platforms, DeFi protocols and traditional financial infrastructure.

USDC currently has roughly $75 billion in circulating supply, making it one of the world’s largest dollar-backed stablecoins.

Circle has also been moving aggressively to expand the ecosystem surrounding the stablecoin. In September alone, the company launched the mainnet of its Arc blockchain and announced an agreement to acquire cross-border payments company Tazapay for approximately $400 million.

Binance’s investment adds one of crypto’s largest distribution platforms to that expansion strategy.

Binance Makes a Bigger Bet on Circle

Binance and Circle were already partners, but purchasing $100 million of Circle stock changes the relationship.

Binance now benefits not only from increased USDC activity across its exchange but also has direct equity exposure to the company issuing the stablecoin. Circle, meanwhile, gains a stronger distribution channel for USDC through one of the world’s most widely used crypto platforms.

The combination of a $100 million equity investment, five-year commercial agreement and incentives tied to USDC adoption makes this much more than a routine exchange listing partnership. It represents a deeper alignment between two of crypto’s largest companies as stablecoins increasingly become infrastructure for trading, payments and onchain finance.
